1. Scope and Parties
1.1 What These Terms Cover
These Organizer Terms ("Organizer Terms") govern your use of the Wullup organizer tools ("Backstage") and the paid advertising services offered through them ("Advertising"). The Advertising format available today is the paid promotion of events ("Event Promotion"); additional ad formats may be offered over time and are equally governed by these Organizer Terms. They are an agreement between the organizer or advertiser identified in the Backstage account ("you", "Organizer") and Wullup GmbH, Im Vogelsang 14, 35452 Heuchelheim, Germany ("Wullup", "we", "us").
1.2 Business Users Only
Backstage and Advertising are a business-to-business offering. By using them, you confirm that you act as an entrepreneur (Unternehmer) within the meaning of § 14 BGB — in the exercise of your trade, business, or self-employed professional activity — and not as a consumer (Verbraucher, § 13 BGB). Consumer-protection provisions do not apply to these Organizer Terms.
1.3 Relationship to Other Terms
The Wullup Terms of Service, Community Guidelines, Privacy Policy, and CSAE Policy continue to apply to you and to everyone acting for you on the platform. If these Organizer Terms conflict with the Terms of Service with respect to Backstage or Advertising, these Organizer Terms prevail for that subject matter.
1.4 Transparency Under the P2B Regulation
Where Wullup acts as an online intermediation service within the meaning of Regulation (EU) 2019/1150 ("P2B Regulation"), these Organizer Terms contain the disclosures required by that Regulation, in particular on ranking (Section 7), restriction, suspension and termination (Section 9), and changes to these terms (Section 10).
2. Backstage Accounts and Verification
- Organizer profile: A Backstage organizer account consists of an organizer profile (name, contact email, logo, optional website) and one or more team members with roles (owner, member). You are responsible for everyone who acts under your organizer account.
- Accurate information: You must provide accurate, current information about your organization and keep it up to date. We may ask for evidence of your identity or business status.
- Verification: Advertising is available to verified organizers only. Verification is granted at our reasonable discretion and may be withdrawn if the information it was based on turns out to be incorrect or outdated.
- No transfer: Organizer accounts may not be sold, rented, or transferred without our prior written consent.
3. Your Events and Content
3.1 Organizer Responsibility
The Terms of Service (Section 8) apply: you are the organizer (Veranstalter) of your events and bear sole responsibility for them, including permits, safety precautions (Verkehrssicherungspflicht), youth protection, and compliance with all applicable laws. Wullup provides only the technical platform and is not a party to any arrangement between you and attendees.
3.2 Content Standards
All event content you publish — whether promoted or not — must be accurate, lawful, and consistent with the Community Guidelines. You must hold all rights required to publish the materials you upload (including flyers, images, and venue details).
4. Attendee Data
Backstage gives you access to certain attendee data for your events: RSVP status, plus-ones, and answers to your RSVP questions, as well as aggregate event statistics.
- Purpose limitation: You may use attendee data solely to plan and run the specific event for which it was provided.
- Your own compliance: To the extent you process attendee data outside the platform (for example, exporting a guest list), you act as an independent data controller and are solely responsible for complying with the GDPR and other applicable data protection law.
- Prohibited uses: You must not sell attendee data, use it to build marketing lists, contact attendees for unrelated purposes, or share it with third parties except as necessary to run the event.
- Aggregate statistics: Event and promotion statistics are provided as aggregates only. You must not attempt to re-identify individual users from them.
5. Advertising
5.1 Service Description and Formats
Verified organizers can pay for advertising on Wullup. All paid placements appear as clearly labeled sponsored placements ("Sponsored" / "Anzeige") inserted into the consumer feed and discovery surfaces. The label is applied by the platform and must not be obscured or circumvented.
The ad format available today is Event Promotion: promoting a published, public event. If we offer additional ad formats (for example, sponsored placements not tied to a single event), these Organizer Terms — including the review process (Section 5.3), the content rules (Section 5.4), payment terms (Section 6), and the transparency disclosures (Section 7) — apply to them in the same way. You are responsible for all ad creatives you submit (images, text, links); linked landing pages must be lawful and must match what the ad claims.
5.2 Booking Parameters (Event Promotion)
- Budget: from €10 to €500 per promotion. The budget determines an impression budget (the approximate number of times your promoted event may be shown).
- Duration: 1 to 30 days, within the period before your event starts.
- Targeting: You may narrow the audience by city, age range, and gender. Age targeting starts at 18; promoted placements are not delivered to users under 18 or to users whose age is unknown.
- Delivery and pacing: Delivery is spread over the booked duration and subject to frequency capping (a user sees a given promotion at most 3 times per day). Impression volumes are estimates; delivery depends on available matching users and is provided on a reasonable-efforts basis.
5.3 Review and Approval
Every promotion is reviewed by Wullup before it goes live. We may approve or reject a promotion; if we reject it, we will tell you the reasons in the review thread, and you may fix the issues and resubmit. We may also re-review and stop a running promotion if it turns out to violate these Organizer Terms or applicable law (Section 9).
5.4 Prohibited Ad Content
A promotion or ad (including the underlying event and any ad creative) must not:
- Advertise illegal events, products, or services, or otherwise violate applicable law;
- Be misleading about the event, its price, lineup, venue, or capacity;
- Promote violence, hatred, or discrimination, or contain sexually explicit content;
- Target or be primarily directed at minors;
- Promote alcohol, nicotine, or other age-restricted goods in a way that violates applicable advertising rules;
- Contain third-party rights violations (music, images, trademarks) or undisclosed promotion for a party other than the organizer.
We may reject or stop promotions that, in our reasonable assessment, harm the safety or integrity of the platform, even if they are not listed above.
6. Payment, Credits, and Refunds
- Payment processing: Advertising payments are processed by Stripe. Wullup does not receive or store payment-card data. You will receive an invoice or receipt for each purchase; prices are stated net or gross as shown at checkout.
- Promotion credits: We may issue promotion credits (for example, via coupon codes). Credits can only be used to pay for Advertising, have no cash value, are non-transferable, cannot be paid out, and may carry an expiry date stated at issuance.
- Rejected promotions: If a promotion is rejected in review and you do not resubmit it, we will refund the booked amount — to your original payment method for Stripe payments, or back to your credit balance for credit payments.
- Stopped promotions: If we stop a running promotion for a reason you are responsible for (Section 5.4, Section 9), amounts already spent on delivered impressions are not refunded. If a promotion cannot be delivered for reasons within our control, we will refund or credit the undelivered part pro-rata.
- Taxes: You are responsible for your own tax obligations arising from your events and promotions.
7. Ranking and Placement Transparency (P2B Regulation, Art. 5 and 7)
7.1 Organic Ranking
The main parameters that determine how content — including your events — is ordered for users are described in the Terms of Service, Section 11: recency (for events: how soon the event starts), engagement in coarse tiers (for events: how many people are going), contextual relevance (such as city proximity when a user opts in to location), and, in the home feed, a user's music-taste affinity plus variety mechanics. These parameters reflect the relevance of content to the individual user; they apply equally to all organizers.
7.2 Effect of Payment
Payment influences visibility only through Advertising: it buys separately labeled ad slots that are inserted at intervals into the feed and discovery surfaces. Payment does not influence organic ranking, and organic ranking cannot be bought. Which ad is shown in an ad slot depends on: targeting match (city, age 18+, gender), contextual relevance to the user (such as a matching city, the user follows the host, the user's friends are attending), and aggregated performance statistics per coarse audience segment.
7.3 No Differentiated Treatment
Wullup does not currently offer events of its own or of affiliated undertakings on the platform. If that changes, such events will be subject to the same ranking parameters and promotion conditions as yours, and this section will be updated.
8. Reporting
For each promotion or ad campaign you receive aggregate statistics: impressions, clicks, and click-through rate, broken down by coarse audience segments. You never receive personal data of the users who saw or clicked your ad (see Privacy Policy, Section 12).
9. Restriction, Suspension, and Termination
- Restriction or suspension: We may restrict or suspend your access to Backstage or Advertising, or stop individual promotions or ads, if you violate these Organizer Terms, the Terms of Service, the Community Guidelines, or applicable law, or if this is necessary to protect users or the integrity of the platform. Where we do so, we will provide you with a statement of reasons on a durable medium (normally by email or in the review thread) before or at the time the measure takes effect, unless we are legally prevented from doing so or act to prevent serious harm.
- Termination by us: We may terminate this agreement with 30 days' notice in text form. We may terminate without notice for good cause, in particular repeated or serious violations, legal obligations, or imperative security reasons; in that case we will state the reasons unless legally prevented.
- Termination by you: You may stop using Backstage at any time and may terminate this agreement in text form with immediate effect. Promotions already delivered remain payable.
- Complaints and redress: If you believe a measure was taken in error, contact [email protected]; we review organizer complaints in good faith and will respond within a reasonable time. As a micro/small enterprise, Wullup is currently exempt from the P2B internal complaint-handling system and mediation requirements (Art. 11, 12 P2B Regulation); your statutory rights and access to the courts remain unaffected.
10. Changes to These Organizer Terms
We may amend these Organizer Terms. We will notify you of proposed changes on a durable medium (normally by email) at least 15 days before they take effect — or longer where the changes require material adaptations on your side. You may terminate the agreement before the changes take effect if you do not agree. Changes required by law or necessary to address an imminent danger may take effect without this notice period. Continued use of Backstage after the notice period constitutes acceptance.
11. Liability and Indemnification
- Liability: Wullup is liable without limitation for intent and gross negligence, for injury to life, body, or health, and under the German Product Liability Act. For simple negligence, Wullup is liable only for breach of essential contractual obligations (Kardinalpflichten) and limited to the foreseeable damage typical for this type of contract. Any further liability is excluded. Wullup is not liable for lost profits or for the commercial success of your events or promotions.
- Indemnification: You will indemnify Wullup against third-party claims (including reasonable legal costs) arising from your events, your content, your promotions, or your breach of these Organizer Terms, except to the extent Wullup is responsible for the claim.
12. Final Provisions
- Governing law: These Organizer Terms are governed by the law of the Federal Republic of Germany, excluding the CISG.
- Venue: Exclusive place of jurisdiction for all disputes arising from these Organizer Terms is Gießen, Germany, provided you are a merchant (Kaufmann), a legal entity under public law, or have no general place of jurisdiction in Germany.
- Language: These Organizer Terms are concluded in English.
- Severability: If a provision of these Organizer Terms is or becomes invalid, the remaining provisions remain unaffected.
